Terms and Conditions

1. Services & Scope of Work

Dela-Ali Virtual Assistance Training Services (“Dela-Ali,” “we,” “us,” or “our”) provides Virtual Assistant (VA) services as outlined in each client’s Job Description document.

  • Clients may request additional tasks as needed, provided they can be completed within the agreed working hours.

  • In cases where urgent work arises outside the assigned VA’s shift, the Owner/Consultant, Roi Monico Alipio, may take over to ensure continuity.

2. Engagement Terms

  • Starter Plan: $500 per month, covering 2 hours of dedicated work per weekday (Monday to Friday).

  • Basic Plan: $750 per month, covering 4 hours of dedicated work per weekday (Monday to Friday), with team oversight to ensure consistency and progress.

  • Advance Plan: $1,500 per month, covering 6 hours of dedicated work per weekday (Monday to Friday), plus 2 hours of daily oversight included.

  • Supreme Plan: $2,000 per month, covering 8 hours of dedicated work per weekday (Monday to Friday), plus 2 hours of daily oversight and technical support from an in-house developer.

  • Setup Fee: A one-time setup and processing fee of $50 applies.

  • Minimum Contract: 6-month minimum engagement before requesting service termination.

  • These terms are subject to modification if either party fails to comply with this agreement.

3. Invoicing & Payment

  • Clients must subscribe before or immediately after signing this agreement.

  • Invoices are issued monthly according to the subscribed plan on the official Dela-Ali website.

  • Payments are due as outlined in the invoice. Late or missed payments may result in service suspension.

4. Relationship & Taxes

Independent Contractor Status

Dela-Ali Virtual Assistance Training Services, represented by Roi Monico Alipio, operates as an independent contractor and not as an employee of the client. Assigned Virtual Assistants, such as Monika Saldevar, act under Dela-Ali’s management and supervision.

Tax & Benefits Responsibilities

  • The client is not responsible for withholding taxes or providing employment benefits.

  • Dela-Ali and its team are solely responsible for all applicable taxes, insurance, and statutory contributions.

  • Virtual Assistants are not eligible for client-provided benefits (e.g., health insurance, paid leave, or retirement plans), unless voluntarily offered by the client as a bonus or token of appreciation.

Control & Supervision

Dela-Ali maintains full control over how services are performed and may assign or supervise additional assistants as necessary.

​

5. Confidentiality & Non-Disclosure

All information shared by the client—including documents, credentials, strategies, and project materials—is strictly confidential. Dela-Ali and its team shall not disclose, share, or use client information for any purpose other than service delivery.


This confidentiality obligation remains in effect even after the termination of services.

6. Intellectual Property

All deliverables—such as templates, workflows, campaigns, and written content—produced by Dela-Ali during the engagement are considered “work-for-hire.”


Full ownership and intellectual property rights transfer to the client once full payment is received.

7. Termination

  • Either party may terminate the agreement with 30 days’ written notice.

  • Immediate termination may occur in the event of a material breach (e.g., confidentiality violation or non-payment).

  • The client remains responsible for payment of all services rendered up to the termination date.

​

8. Force Majeure

Neither party shall be held liable for delays or failures in performance caused by events beyond their reasonable control (e.g., natural disasters, war, power outages, or government restrictions).


If such circumstances persist beyond 30 days, either party may terminate the agreement without penalty.

9. Governing Law & Dispute Resolution

  • This agreement is governed by the laws of both the United States of America (USA) and the Republic of the Philippines.

  • Both parties agree to engage in good faith mediation to resolve disputes.

  • If unresolved within 30 days, disputes shall proceed to binding arbitration.

​

10. Amendment & Severability

  • Any modification or amendment to these Terms must be made in writing and agreed upon by both parties.

  • If any clause is found invalid or unenforceable, the remaining provisions will continue in full effect.

​

11. Entire Agreement

This page represents the entire agreement between the client and Dela-Ali Virtual Assistance Training Services and supersedes all prior discussions, communications, or understandings.
